COMPANIES ACT 2006 – Today is the Day!
1st October 2009 is the day that the final parts of the Companies Act 2006 become law. As of midnight on 30th September your memorandum and articles of association were varied by statute so that the bulk of the provisions of the memorandum become part of the articles.
As these provisions will in the main be construed as restrictions we are advising clients that it is a good time either to review the documents as a whole or at least to clean up the articles and remove what are now unnecessary restrictions.
